The Caribbean Biodiversity Fund (CBF) is seeking expressions of interest and nominations of suitably qualified individuals who may be considered for appointment to the Board for a maximum of two years, with a proposed start date of 1 October 2026.

CBF is a regional environmental fund established to provide stable, long-term financial resources for conservation, ecosystem-based adaptation, and biodiversity protection across the Caribbean. To ensure robust fiduciary oversight, objective governance, and strategic impact, the CBF Governance Committee is opening its formal Call for Nominees to fill vacant seats on its skills-based Board of Directors.

2 Why Serve on the CBF Board

Serving on the CBF Board offers an opportunity to help shape the strategic direction and governance of a regional institution dedicated to sustainable financing for biodiversity conservation. Directors contribute to CBF’s continued growth and long-term impact while engaging with Caribbean and international partners committed to conservation and sustainable development.

Board service is voluntary and does not carry remuneration. Directors may, however, have opportunities to represent the CBF at regional and international meetings, convenings, and other strategic engagements, including travel where appropriate.

3 Areas of Expertise

CBF is particularly interested in individuals with senior-level experience in one or more of the following areas:

3. Risk Management and Investment OversightFinancial management, investment oversight, enterprise and fiduciary risk, audit and compliance.
4. Strategic Communications and Stakeholder EngagementStrategic communications, stakeholder engagement, public affairs, media and organisational positioning.
5. Advocacy, Partnerships and Resource MobilisationResource mobilisation, donor relations, partnership development and advocacy for Caribbean conservation.
6. Legal and Corporate GovernanceLegal expertise, governance frameworks, compliance, articles of incorporation and governance administration.
7. Institutional Development and Capacity-BuildingOrganisational growth, institutional strengthening, internal capacity development and change management.

4 Candidate Profile

Candidates should bring demonstrated leadership experience, sound judgement, high standards of integrity and a commitment to CBF’s regional mission. Previous experience serving on a Board or providing strategic oversight within a regional, international, conservation, financial or public-interest organisation would be an asset.

5 Board Service Expectations

Board members are expected to serve for a two-year term, renewable in accordance with CBF’s governing documents and agreed rotation arrangements; prepare for and participate actively in scheduled Board meetings during the year; and participate in committee work where required.

Board members are also expected to exercise independent judgement, uphold fiduciary, ethical and confidentiality standards, disclose and manage conflicts of interest appropriately, and devote sufficient time to their responsibilities. Details on meeting dates, committee assignments, time commitment, and applicable remuneration or reimbursement arrangements will be provided to candidates invited to advance to the formal nomination stage.

6 Expressions of Interest

Expressions of interest may be submitted directly by interested individuals or on their behalf by a CBF Member, National Conservation Trust Fund, CBF Director or other recognised stakeholder.

Each expression of interest should include:

  • Curriculum vitae: A current CV outlining relevant professional and Board-level experience.
  • Brief statement: A concise statement describing the individual’s relevant experience and the contribution they believe they could make to the CBF Board.
  • Initial conflict disclosure: A statement identifying any actual or potential conflicts of interest relevant to possible Board service.

7 Review and Appointment Process

All expressions of interest will be treated confidentially and reviewed in accordance with CBF’s approved nomination, due-diligence and appointment process. The Nominations Committee will assess potential candidates against the Board’s identified skills requirements and recommend shortlisted candidates to the Board of Directors, which retains formal appointment authority.

An expression of interest does not constitute a formal nomination and does not guarantee shortlisting or appointment.
